TOTAL VALIDATOR PRO, CI, AND EMBEDDED SUBSCRIPTION TERMS AND CONDITIONS

BACKGROUND.
Total Validator Pro (the "Pro Software") Total Validator CI (the "CI
Software") and Total Validator Embedded (the "Embedded Software") are
licensed and not sold to you. You may use those copies of the Pro
Software, CI Software, and the Embedded Software that you have licensed
in accordance with the licence agreement they were issued with.

If you wish to use the latest release of the Pro Software of CI Software
or Embedded Software you would normally have to purchase a new licence
for each copy you hold. In lieu of this full payment you may instead pay
an annual subscription fee for each licensed copy to allow you to
replace it with later releases as these become available on our website
during the subscription period.

SUBSCRIPTION PERIOD.
A year's free subscription is normally provided for each copy of the
licence purchased. As such the first subscription period starts on
the date of the original licence purchase and ends one year later.

An annually payable fee is then required for each licensed copy of the
Pro Software and CI Software and Embedded Software in order to renew its
associated subscription for another year. This fee covers the period
from the expiry date of the previous subscription until one year later.
If our online payment form allows it, you may be able to pay a fee to
cover a period greater than one year.

Should you purchase additional licences during the subscription period
using the Extra Licences form on our website, a new combined
subscription expiry date will be calculated and displayed on screen.

If you ask us to manually combine two or more existing subscriptions a
new combined subscription end date will be calculated and we will inform
you of the new expiry date.

The current expiry date for your subscription (sometimes called the
'renewal date') is also displayed when you access the subscriptions area
of our website.

Early termination of the subscription will occur should the terms of the
licence be violated. Should this occur no refund will be available.

RENEWAL OF SUBSCRIPTION.
As the end of your subscription period nears we will send out a series
of reminder emails to the email addresses listed in the subscriptions
area of our website to remind you to renew your subscription. You may
opt out of these reminders by contacting us by email or using the
subscriptions area of our website. You may provide several email
addresses and we will attempt to send reminder emails to all of them.
It is your responsibility to ensure that these addresses are valid and
are regularly checked for reminder emails.

If the subscription price has changed since your last payment this will
be visible in the subscriptions area of our website.

Should you fail to renew your subscription by the subscription end date
you may no longer be allowed to replace your existing copy of the Pro
Software or CI Software or Embedded Software with the latest release.
You can continue to use the existing copies that you have licensed in
accordance with the licence agreement they were issued with.

It is your responsibility to download the latest release of the Pro
Software and CI Software and Embedded Software as this becomes available
on our website. Should you have failed to do so during the subscription
period then at the end of this period we will not provide to you any
release that you may have missed while your subscription was in force.

Each CI Software licence is granted on the basis that you hold at
least one associated Pro Software licence. Similarly for each CI
Software subscription you must hold at least one associated Pro Software
subscriptions. Should you not renew sufficient Pro Software
subscriptions when you renew an CI Software subscription your CI
Software subscription will be not be renewed.

Each Embedded Software licence is granted on the basis that you hold at
least five associated Pro Software licences. Similarly for each Embedded
Software subscription you must hold at least five associated Pro
Software subscriptions. Should you not renew sufficient Pro Software
subscriptions when you renew an Embedded Software subscription your
Embedded Software subscription will be not be renewed.

We also reserve the right to stop subscription renewals without notice
or explanation.

REFUNDS AND CANCELLATION.
Once we have accepted your payment, you have 14 days to cancel. However,
the cancellation period terminates immediately on download of the Pro
Software or CI Software or Embedded Software. If for any reason we are
unable to fulfil your subscription and you wish to cancel it, you may
obtain a refund for the unexpired part of your subscription.

APPLICABLE LAW.
These terms and conditions are governed by and are to be construed in
accordance with English Law and all parties agree to submit to the
exclusive jurisdiction of the English courts.
